AI Commitments
This concept outlines the commitments governing Customer use of Zuora AI Features and Zuora’s responsibilities in providing those features.
Customer's usage of the Zuora AI Features and Zuora's provision of the Zuora AI Features shall adhere to the following commitments:
Customer Commitments
Customer is responsible for (i) the lawfulness of all Customer Input and (ii) all decisions, actions, or inactions arising from Customer's use of Zuora AI Features, including, without limitation, ensuring such decisions, actions, or inactions comply with applicable laws, regulations, and other legal requirements related to data protection, intellectual property, and the use of AI.
Customer understands and acknowledges that Customer's use of Zuora AI Features is voluntary and optional. Customer is solely responsible for implementing reasonable practices, including human oversight, to guard against Zuora AI Features or AI Output being used in an unsuitable or unlawful way.
Zuora Commitments
Zuora and the AI Providers will not use Customer Data to train, re-train, improve, or fine-tune any AI models.
Zuora AI Features will process Customer Data within AWS data centers. Customer Data will not be transferred outside of the Customer’s approved AWS data center.
Zuora will provide the Service, including any Zuora AI Features, in compliance with all laws, rules, or regulations, including, but not limited to, the EU AI Act, applicable to its provision of the Service to Customer generally without regard to Customer’s particular use and subject to Customer’s use of the Services in accordance with the Agreement.
Zuora has obtained a third party certification pursuant to ISO 42001 Framework for Artificial Intelligence Management System and undergoes regular audits thereof, the reports of which, together with other third party certifications and Security Documentation shall be made available to the Customer to undertake a risk-based assessment of Zuora’s compliance with this AI Addendum.
Zuora AI Features may incorporate AI technologies provided by third-party providers. Where third-party AI technologies are used, Zuora shall ensure that they are integrated in accordance with reasonable technical and organizational measures and requirements consistent with these Commitments.
Definitions
"AI" means a machine-based system that is designed to operate with varying levels of autonomy and that may exhibit adaptiveness after deployment, and that, for explicit or implicit objectives, infers from the input it receives, how to generate outputs such as predictions, content, recommendations, or decisions that can influence physical or virtual environments .
"AI Provider" means any third-party model or technology provider used by Zuora to enable Zuora's AI Features.
"Customer Input" means any natural language statement, prompt, or other query that a User or Customer provides to the Service to solicit a response or result from a Zuora AI Feature.
"AI Output" means any generative AI output provided via the Service after processing Customer Input.
"Zuora AI Feature" means any AI feature integrated into the Service that incorporates a Zuora-developed or third-party AI model or system to create, produce, or otherwise provide AI Output.
